WOVE Subscription Agreement
Investor review copy. Final rights, restrictions, investment mechanics, and legal obligations are controlled by definitive offering documents.
Subscription commitment
The investor applies to subscribe for participation in the WOVE offering in an amount submitted through the Assetra investment flow and accepted by the issuer.
A submitted subscription may remain subject to investor verification, jurisdictional review, payment confirmation, issuer approval, allocation availability, final document acceptance, and platform processing.
Acceptance and allocation
The issuer may accept, reject, reduce, or condition a subscription in accordance with the offering documents and platform procedures. No participation is final until accepted and recorded through the applicable closing process.
Allocations may be limited by the target raise, token cap, eligibility requirements, jurisdictional restrictions, investor limits, or other issuer/platform rules.
Investor representations
The investor represents that onboarding information is accurate, the investor has reviewed the offering materials, understands the speculative nature of the investment, can bear the risk of loss, and is not relying on unauthorized statements outside the offering materials.
The investor also acknowledges that the final instrument, rights, restrictions, reporting obligations, and transfer mechanics are controlled by definitive documents.
Risk acknowledgement
The investor acknowledges that WOVE is an early-stage technology project and that investment involves execution risk, technology risk, market risk, legal risk, liquidity risk, financing risk, and the possible loss of invested capital.
The investor should review the risk disclosure and participation terms before submitting a subscription.
Administrative provisions
Administrative terms may include investor identity verification, electronic delivery of documents, platform notices, tax and reporting information, amendment procedures, dispute handling, governing law, and closing records.
This review copy is not a substitute for the executed subscription agreement and does not create binding obligations until final documents are completed and accepted through the official process.
